By accessing and using the Pravox website or engaging our infrastructure services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use our website or services. These terms constitute a legally binding agreement between you and Pravox B.V.

Pravox provides professional infrastructure and construction services including:

• Road construction and maintenance
• Utility infrastructure installation and repair
• Civil engineering services
• Project management and consultation
• Site preparation and earthworks
• Drainage and stormwater systems

All services are provided in accordance with Dutch building codes, safety regulations, and industry standards. Specific service details, timelines, and costs will be outlined in individual project contracts.

User Obligations

When using our website and services, you agree to:

• Provide accurate and complete information in all communications and forms
• Use our website and services only for lawful purposes
• Not interfere with or disrupt our website or services
• Respect intellectual property rights
• Comply with all applicable laws and regulations
• Provide safe and legal access to project sites
• Obtain necessary permits and approvals as specified in project agreements

Project Contracts

Specific infrastructure projects will be governed by separate written contracts that supplement these Terms of Service. Project contracts will include detailed specifications, timelines, payment terms, and specific conditions. In case of conflict between these Terms and a project contract, the project contract will prevail for that specific project.

Payment Terms

Payment terms for our services include:

• Payment schedules will be specified in individual project contracts
• Invoices are payable within 30 days unless otherwise agreed
• Late payment may incur interest charges as permitted by Dutch law
• We reserve the right to suspend work for non-payment
• All prices are exclusive of VAT unless stated otherwise
• Additional work outside the original scope requires written approval

Intellectual Property

All content on the Pravox website, including text, graphics, logos, images, and software, is the property of Pravox B.V. or its licensors and is protected by Dutch and international copyright laws. You may not reproduce, distribute, modify, or create derivative works from our content without express written permission. The Pravox name and logo are trademarks of Pravox B.V. and may not be used without authorization.

Warranties and Guarantees

We warrant that our services will be performed in a professional manner in accordance with industry standards. Specific warranties for construction work will be detailed in project contracts. We guarantee compliance with applicable building codes and regulations. Any warranty claims must be reported promptly and in writing. Our warranties do not cover damage caused by normal wear, misuse, or factors beyond our control.

Limitation of Liability

To the maximum extent permitted by Dutch law, Pravox B.V.'s liability for any damages arising from our services or website use is limited to the amount paid for the specific service giving rise to the claim. We shall not be liable for indirect, consequential, special, or punitive damages, including but not limited to loss of profits, business interruption, or loss of data. This limitation applies regardless of the legal theory of liability, whether in contract, tort, or otherwise.

Force Majeure

We shall not be liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labour disputes, government actions, or supplier failures. In such cases, we will notify you promptly and make reasonable efforts to minimize delays.

Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of personal data is governed by our Privacy Policy, which forms part of these Terms. By using our services, you consent to our data practices as described in the Privacy Policy. We comply with the General Data Protection Regulation (GDPR) and Dutch privacy laws.

Termination

Either party may terminate ongoing projects in accordance with the terms specified in individual project contracts. We reserve the right to terminate or suspend access to our website immediately, without prior notice, if you breach these Terms of Service. Upon termination, you must cease all use of our website and services. Provisions that by their nature should survive termination will remain in effect, including intellectual property rights, limitation of liability, and governing law.

Modifications to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting on our website. We will notify users of significant changes by updating the "Last updated" date and, where appropriate, by email. Your continued use of our services after changes are posted constitutes acceptance of the modified terms.

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the Netherlands. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the competent courts in Amsterdam, Netherlands. If any provision of these terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Dispute Resolution

We encourage resolution of disputes through direct communication. If a dispute cannot be resolved amicably, we prefer mediation before resorting to litigation. For construction-related disputes, we may agree to arbitration under the rules of the Dutch Arbitration Institute (NAI). Any legal proceedings must be commenced within two years of the cause of action arising.

Entire Agreement

These Terms of Service, together with our Privacy Policy and any applicable project contracts, constitute the entire agreement between you and Pravox B.V. regarding the use of our website and services. These terms supersede all prior or contemporaneous communications and proposals, whether oral or written, between the parties.
